1. AGREEMENT TO OUR LEGAL TERMS

Welcome to GoChatterBot (referred to as "Company," "we," "us," "our," or "GoChatterBot"). We operate the website and related products and services, including our chatbot plugin and associated features (collectively, the "Services").

These Legal Terms constitute a binding agreement between you and GoChatterBot regarding your access to and use of the Services. GoChatterBot reserves the right to modify these Legal Terms at any time. Material modifications will be indicated by updating the "Last updated" date at the top of this page. Your continued use of the Services following any changes constitutes your acceptance of the revised Legal Terms.

2. OUR SERVICES

GoChatterBot provides a SaaS chatbot plugin and related services accessible via https://www.gochatterbot.com/. Our Services allow you to integrate intelligent chatbot functionality into your website or application.

These Legal Terms apply to all users accessing and using the Services. Please note that the information, products, and services provided through the Services may not be appropriate or available in all jurisdictions. Any reference to specific products or services does not constitute an offer or solicitation in jurisdictions where such activities are prohibited by law. Users accessing the Services from other jurisdictions are responsible for ensuring their use complies with all applicable local, state, and national laws and regulations.

3. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

Unless otherwise indicated, the Services, including all content, features, functionality, software, source code, text, displays, graphics, logos, images, video and audio clips, digital downloads, data compilations, and all other materials (collectively, the "Content"), as well as the selection, coordination, and arrangement thereof, are the sole and exclusive property of GoChatterBot, our licensors, or other providers of such material and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Your Use of Our Services

Subject to your compliance with these Legal Terms, GoChatterBot grants you a non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes. This license does not include:

  • The right to copy, reproduce, distribute, or transmit any Content without prior written consent
  • The right to modify, adapt, or create derivative works based on the Services or Content
  • The right to sublicense, sell, rent, lease, or otherwise transfer your rights to the Services
  • The right to bypass or circumvent any technological protection measures or restrictions
Your Submissions

By submitting feedback, suggestions, ideas, or other communications to GoChatterBot regarding the Services, you acknowledge and agree that we may use such submissions without restriction, including for improving the Services, developing new features, and for any other purpose whatsoever, without compensation to you.

You are solely responsible for the content of any materials you post, upload, or submit through the Services. You warrant that you own or have obtained all necessary rights to any content you submit, and that the content does not infringe upon any third-party intellectual property rights.

4. USER REPRESENTATIONS

By accessing and using the Services, you represent and warrant that:

  • You have the legal capacity and authority to enter into these Legal Terms
  • You are not a minor in your jurisdiction of residence
  • You will not use automated methods or bots to access the Services without explicit permission
  • You will not use the Services for any illegal, unauthorized, or fraudulent purposes
  • Your use of the Services complies with all applicable laws, rules, and regulations in your jurisdiction

5. PROHIBITED ACTIVITIES

You agree that you will not engage in any of the following prohibited activities:

  • Systematically retrieving data or content from the Services to create or compile databases, repositories, or collections
  • Engaging in any form of fraud, deception, impersonation, or misrepresentation
  • Attempting to circumvent security measures or access unauthorized portions of the Services
  • Making disparaging, defamatory, or harmful statements about GoChatterBot or our Services
  • Harassing, threatening, or abusing any individual or entity
  • Misusing support channels or submitting false claims or inquiries
  • Violating any applicable laws, regulations, or rights of third parties
  • Framing, mirroring, or otherwise obscuring the identity of the Services
  • Uploading or transmitting viruses, malware, or other harmful code
  • Using automated scripts, bots, spiders, or scraping tools without authorization
  • Removing, altering, or obscuring copyright notices, trademarks, or other proprietary notices
  • Impersonating or attempting to impersonate any person or entity
  • Uploading or installing spyware, adware, or monitoring software
  • Interfering with or disrupting the proper functioning of the Services or infrastructure
  • Harassing, threatening, or abusing GoChatterBot employees or support staff
  • Bypassing or attempting to bypass any technological measures designed to protect the Services
  • Copying or reproducing the software code or architecture of the Services
  • Decompiling, reverse engineering, or disassembling the Services or their components
  • Creating unauthorized bots, scrapers, or automated services that utilize the Services
  • Using the Services to perform or facilitate services on behalf of third parties without authorization
  • Collecting email addresses, usernames, or other user data for the purpose of sending unsolicited communications or spam
  • Using the Services to develop, support, or promote a competing product or service

6. USER GENERATED CONTRIBUTIONS

The Services may provide features allowing you to post, submit, upload, or otherwise contribute content or materials (collectively, "Contributions"). If we provide such functionality, you warrant that all Contributions are truthful, accurate, not deceptive, and do not violate any applicable laws or regulations.

You are solely responsible for the nature, quality, and appropriateness of any Contributions you make. We reserve the right to remove any Contributions that violate these Legal Terms or are otherwise objectionable at our discretion.

7. CONTRIBUTION LICENSE

By submitting Contributions through the Services, you grant GoChatterBot a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, perform, display, and distribute such Contributions in any media now known or hereafter developed.

We may access, store, process, and use any information you provide through the Services in accordance with our Privacy Policy. You retain ownership of your Contributions, but you grant us the rights described above. We are not liable for any statements, representations, or content contained in your Contributions.

8. SERVICES MANAGEMENT

GoChatterBot reserves the right to monitor the Services and your use thereof. We may undertake any of the following actions in our sole discretion:

  • Monitor for violations of these Legal Terms
  • Take legal action against users who violate these terms
  • Refuse, restrict, suspend, or terminate your access to the Services
  • Remove or restrict Contributions that violate these Legal Terms or are otherwise harmful
  • Remove or manage excessive files or storage consumption
  • Modify, update, or discontinue portions of the Services

9. TERM AND TERMINATION

These Legal Terms remain in effect during the entire period in which you access and use the Services. We may deny you access to the Services or terminate your account for any reason or no reason, with or without notice, at any time in our sole discretion.

Upon termination, your right to use the Services immediately ceases. You are prohibited from creating new accounts or attempting to access the Services through workarounds following termination.

10. MODIFICATIONS AND INTERRUPTIONS

GoChatterBot reserves the right, at any time and without notice, to modify, alter, suspend, or discontinue the Services or any portion thereof. We may make changes to the features, functionality, content, or structure of the Services at our discretion.

We do not guarantee that the Services will be available at all times. The Services may experience downtime, interruptions, outages, or periods of unavailability due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any damages or losses resulting from such interruptions or unavailability.

11. GOVERNING LAW

These Legal Terms, and any dispute, claim, or controversy arising from or relating to the Services, shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

12. DISPUTE RESOLUTION

Informal Negotiations

Before pursuing formal legal action, any dispute, claim, or controversy arising from or relating to these Legal Terms or the Services must be subject to informal negotiations. Either party must provide written notice of the dispute to the other party and allow thirty (30) days for resolution through good-faith negotiations.

Binding Arbitration

If the dispute is not resolved within the thirty (30) day informal negotiation period, either party may submit the dispute to binding arbitration. The arbitration shall be conducted in accordance with applicable arbitration rules and shall be administered by an impartial arbitrator selected by mutual agreement of the parties.

Restrictions on Arbitration

Notwithstanding the foregoing, any arbitration shall be conducted on an individual basis. You agree that arbitration shall not be conducted as a class action, collective action, or representative action, and you waive your right to participate in any class, collective, or representative proceeding.

Exceptions to Arbitration

Notwithstanding the binding arbitration provision, the following disputes are not subject to arbitration and may be pursued in court:

  • Disputes involving intellectual property rights, including infringement, misappropriation, or violation of copyrights, trademarks, or trade secrets
  • Claims of theft, piracy, or unauthorized use of the Services or Content
  • Requests for injunctive relief or other equitable remedies

13. CORRECTIONS

GoChatterBot may, in its sole discretion and without notice, correct, amend, or improve any errors, inaccuracies, omissions, or typos in the Content or Services at any time. We are not obligated to provide notice of such corrections.

14. DISCLAIMER

THE SERVICES AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED THROUGH THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. GOCHATTERBOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

GOCHATTERBOT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. GOCHATTERBOT DOES NOT WARRANT THAT THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE, RELIABLE, OR MEET YOUR EXPECTATIONS.

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. YOU ASSUME FULL RESPONSIBILITY FOR ANY LOSS, DAMAGE, OR ADVERSE CONSEQUENCES RESULTING FROM YOUR USE OF OR RELIANCE UPON THE SERVICES OR CONTENT.

15. LIMITATIONS OF LIABILITY

IN NO EVENT SHALL GOCHATTERBOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF GOCHATTERBOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO CASE SHALL GOCHATTERBOT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE AMOUNT, IF ANY, THAT YOU HAVE PAID GOCHATTERBOT FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF YOU HAVE NOT PAID GOCHATTERBOT FOR USE OF THE SERVICES, GOCHATTERBOT'S LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless GoChatterBot and its officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Services or violation of these Legal Terms
  • Your breach of any representation, warranty, or obligation contained in these Legal Terms
  • Your infringement or violation of any intellectual property right of any third party
  • Any harmful or illegal acts or conduct associated with your use of the Services

17. USER DATA

GoChatterBot maintains data and information related to your use of the Services for the purpose of providing, maintaining, and improving the Services. You are responsible for ensuring the accuracy, completeness, and legality of any data you submit or store through the Services.

GoChatterBot is not liable for any loss, corruption, deletion, or unavailability of your data. We recommend maintaining backup copies of any critical or important data. We are not responsible for the consequences of data loss or corruption resulting from your use of the Services.

18. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You agree that your electronic communications, transactions, and signatures with GoChatterBot satisfy all legal requirements for written communications, signed agreements, and binding contracts. You consent to conducting business electronically and acknowledge that electronic records and signatures have the same legal effect as paper records and handwritten signatures.

19. MISCELLANEOUS

These Legal Terms, together with any other policies and terms referenced herein, constitute the entire and exclusive agreement between you and GoChatterBot regarding the Services and supersede all prior agreements, negotiations, and understandings.

The failure of GoChatterBot to enforce any right or provision of these Legal Terms shall not constitute a waiver of such right or provision. If any provision of these Legal Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

These Legal Terms may be assigned by GoChatterBot to any successor or affiliate without notice. You may not assign or transfer these Legal Terms or your rights thereunder without GoChatterBot's prior written consent.

Neither you nor GoChatterBot shall be liable for any failure or delay in performing obligations under these Legal Terms resulting from causes beyond your or our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

These Legal Terms do not create a joint venture, partnership, employment, or agency relationship between you and GoChatterBot. You are an independent user of the Services, and neither party is authorized to bind the other or assume liabilities on the other's behalf.

These Legal Terms shall not be construed against either party based on their role in drafting or preparing the terms.
